Terms of service

These terms govern your use of omniworkforce.com and the Omni Workforce service. By hiring an Omni employee or using the dashboard, you agree to them. If you are agreeing on behalf of a company, you confirm you have authority to bind it.
What Omni provides
Omni is a managed service, not a software licence. We build, deploy and manage AI employees that perform defined roles for your business. Each engagement covers:
- Building the employee against your tools, data and working practices
- Onboarding and first-week training
- Ongoing management, performance monitoring and improvement
- Replacement of an employee that is not performing
- Access to the Omni dashboard for you and your team
What you are responsible for
- Giving us the access, information and instructions an Omni employee needs to do the job.
- Having the right to share the data you give us, including any personal data belonging to your customers or staff.
- Reviewing the work. Omni employees operate autonomously within the limits you set, and you review the output.
- Keeping your account credentials secure and telling us promptly if they are compromised.
Human oversight and limits
Omni employees are software systems performing work, not people, and not a substitute for professional advice. Specifically:
- Omni Books maintains your ledger. It is not your accountant and does not provide tax or accounting advice or file returns.
- Omni Sales operates within the outreach rules you set. You remain responsible for compliance with marketing and communications law in your markets.
- No Omni employee provides legal, financial, medical or other regulated professional advice.
Every role has a defined escalation line. Work requiring judgment, or that is irreversible, is routed to a person on your side for a decision.
Fees and payment
- Employees are billed monthly per employee, at the rate in your order. The rate is the same for every role and reduces at the volume thresholds published on our pricing page.
- Token costs are passed through at cost, itemised on each invoice, based on the work the employee actually performed. We do not mark them up. These vary month to month with usage.
- Invoices are due on the terms stated on the invoice. Fees exclude applicable taxes.
- We may change rates with 30 days’ written notice. Changes take effect at your next renewal.
Term, cancellation and replacement
Engagements run month to month unless your order says otherwise. Either party may terminate on 30 days’ written notice. If an Omni employee is not performing, tell us — we will remediate or replace it, and if we cannot, you may cancel that employee without further charge.
We may suspend or terminate for non-payment, or for use of the service that is unlawful or that puts other customers at risk.
Your data
You own your business data and anything an Omni employee produces for you. You grant us the licence needed to process it in order to deliver the service.
We do not use your data to train general-purpose models for other customers. For personal data, our respective roles and obligations are set out in our privacy policy and, where applicable, a data processing agreement.
On termination, you may export your data for 30 days. After 90 days we delete it, except where law requires us to keep records.
Acceptable use
You may not use Omni to:
- Break the law, or help anyone else do so
- Send unlawful bulk communications, or contact people who have opted out
- Impersonate a real person, or present an Omni employee as a human where the law requires disclosure
- Process sensitive categories of personal data without telling us first
- Attempt to extract our models, prompts or underlying systems
Confidentiality
Each party will protect the other’s confidential information with at least reasonable care and use it only to perform under these terms.
Warranties and disclaimers
We will perform the service with reasonable skill and care. Beyond that, and to the extent the law allows, the service is provided without further warranties. We do not warrant that an Omni employee will be error-free, or that it will produce any particular business result.
Limitation of liability
To the extent the law allows, neither party is liable for indirect, incidental or consequential loss, or for lost profits or revenue. Each party’s total liability arising out of these terms is capped at the fees you paid in the 12 months before the claim.
Nothing here limits liability that cannot be limited by law, including for death or personal injury caused by negligence, or for fraud.
Indemnity
You will indemnify us against third-party claims arising from your data, your instructions, or your use of the service in breach of these terms. We will indemnify you against third-party claims that the service as provided infringes their intellectual property.
Changes to these terms
We may update these terms. For material changes we will give customers at least 30 days’ notice by email, and the change takes effect at your next renewal.
Governing law
These terms are governed by the laws of the jurisdiction stated in your order form, and the courts of that jurisdiction have exclusive jurisdiction over any dispute.
